Terms & Conditions

for Orions IT Solution

These Terms and Conditions (“Agreement”) are entered into by and between Orions IT Solution (“Orions IT Solution,” “we,” “our,” or “us”) and the client (“Client,” “you,” or “your”). This Agreement governs the use of our IT services and any related products or services provided by Orion’s IT Solutions.

By engaging with Orion’s IT Solutions, you agree to comply with and be bound by the terms and conditions set forth below. Please read this Agreement carefully.

  1. Services

1.1. Orions IT Solution will provide IT services and related products as agreed upon in the project proposal, statement of work, or contract.

1.2. Client responsibilities include providing necessary information, access, and cooperation required for the provision of services.

  1. Payment Terms

2.1. Payment terms will be outlined in the project proposal, statement of work, or contract. Clients are responsible for paying invoices according to the agreed-upon terms.

2.2. In the event of late or non-payment, Orions IT Solution reserves the right to suspend or terminate services.

  1. Confidentiality

3.1. Both parties agree to keep all project-related information and data confidential. Orions IT Solution will not disclose confidential information to third parties without prior written consent from the Client.

  1. Ownership and Intellectual Property

4.1. Unless otherwise specified in the project proposal, all intellectual property developed during the provision of services, including software code, designs, and documentation, will be owned by Orion’s IT Solutions.

  1. Data Protection and Privacy

5.1. Orions IT Solution will adhere to all relevant data protection and privacy laws and regulations when handling client data.

  1. Termination

6.1. Either party may terminate the agreement with written notice if the other party breaches the terms and conditions.

6.2. Termination by the Client may result in additional fees for work completed and costs incurred.

  1. Warranty and Liability

7.1. Orions IT Solution provides services “as is” and does not warrant that services will be error-free or uninterrupted.

7.2. Orions IT Solution shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of the provision of services.

  1. Force Majeure

8.1. Orions IT Solution shall not be liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its control.

  1. Governing Law and Jurisdiction

9.1. This Agreement is governed by the laws of [Jurisdiction], and any disputes will be subject to the exclusive jurisdiction of the courts in [Jurisdiction].

  1. Amendments

10.1. Orions IT Solution reserves the right to modify these terms and conditions at any time. Notice of changes will be provided to the Client, and continued use of services implies acceptance of the modified terms.

  1. Entire Agreement

11.1. This Agreement constitutes the entire understanding between Orions IT Solution and the Client and supersedes all prior agreements, understandings, and representations.
